1. The parties
Kairomi Pro for WordPress is provided by:
Valerio Rullo · Mokita Studio, sole proprietorship (ditta individuale) under the Italian flat-rate tax scheme (regime forfettario)
VAT number IT03321070801
Via Polistena I traversa privata 10, 89132 Reggio Calabria (RC), Italy
Email info@mokita.studio · PEC (certified email) valerio.rullo@pec.it
(“the Provider”). Whoever starts a trial or buys a licence is “the Customer” or “you”. These terms apply from the moment you accept them on the purchase page.
Our order process is conducted by our reseller Sold through Link, LLC (“Link”), a Stripe company, which is the merchant of record for all orders. You conclude the sales contract with Link, under the terms Link shows on the payment page. Link handles payment, taxes, receipts and invoices, refunds and disputes. These terms govern your relationship with the Provider instead: the Plugin licence, the key, updates, support and the Licence service.
Kairomi Pro is designed for businesses: grooming salons, shops, studios. If you buy as a consumer, that is for purposes outside any trade, business or profession, you also have the rights given by consumer law, which these terms do not limit.
2. Definitions
- Plugin: the Kairomi Pro software for WordPress, in the version you download and in the versions you receive as updates.
- Subscription: the fixed-term contract under which you receive the licence key and the Services.
- Licence: the type of Subscription you choose: Kairomi Pro – 1 site or Kairomi Pro – 3 sites.
- Licence key: the code (currently in the format
PLCT-XXXX-XXXX-XXXX-XXXX) you activate in the Plugin. - Licence service: the Provider's online service that manages licences and payments: it checks the key, delivers updates, sends the key again when you ask and opens subscription management.
- Services: Plugin updates, email support and the Licence service.
- Site: a WordPress installation identified by its domain.
3. What you buy
You buy two separate things:
- The Plugin, distributed under the GNU General Public License version 2 or later (GPLv2+), as described in section 4.
- The Subscription to the Services. While the Subscription is in trial or active, the key unlocks every Kairomi Pro feature in the Plugin and entitles you to updates and support.
The price pays for the Subscription, that is the Services and the features unlocked by the key. It does not pay for a restriction on the use of the code.
4. Software licence
The Plugin's code is released under GPLv2 or later. You may use, study, modify and redistribute it under the terms of the GPL, whose text is in the LICENSE file included in the Plugin. Nothing in these terms reduces the rights the GPL gives you.
The GPL covers the code. It does not cover:
- the licence key, which is personal and which you may not transfer, resell or publish;
- the Services, which you receive only with a valid Subscription;
- the Kairomi name and logo, which are not licensed with the code.
If you change the code to get around the key check, you exercise a right under the GPL, but you do not get the Services.
5. Licences, sites and prices
Licences, prices and what they include are those shown on the purchase page when you order. Every licence includes every Kairomi Pro feature; only the number of sites changes:
- Kairomi Pro – 1 site: the key works on 1 site. Paid yearly or monthly.
- Kairomi Pro – 3 sites: the key works on up to 3 sites. Paid yearly only.
Sites are counted by domain: the www. and non-www. versions and the http and https versions of the same site count once; two installations in different folders of the same domain count twice. A staging or development site also counts as a site.
When you reach the maximum you can free a site from the Plugin's Abbonamento (Subscription) page, with “Libera questo sito” (Free this site), and use the key on another one. The Plugin also frees the site by itself when you uninstall it or replace the key with another one.
While the Subscription is in trial or active, bookings have no monthly cap and you can add as many groomers and locations as you want.
Prices are shown in euro, excluding VAT. Applicable taxes (for example your country's VAT) are calculated by Link on the payment page, based on your country and the details you enter. Link emails you receipts and invoices. On your bank statement the charge appears as LINK.COM* followed by the product name.
6. Free trial
The first Subscription starts with a 30-day free trial. The trial is given once: if you have already had a Kairomi subscription with the same email, the first charge is made straight away.
- To start the trial you add a payment method on the payment page. You pay nothing during the trial.
- Before the trial ends you receive a reminder email.
- If you do not cancel by the last day of the trial, the first charge for the chosen licence is made when the trial ends and the Subscription continues as described in section 7.
- If you cancel during the trial you pay nothing.
7. Term, automatic renewal and price changes
The Subscription lasts one year (yearly payment) or one month (monthly payment, Kairomi Pro – 1 site only) from the end of the trial and renews automatically for the same period, charged to the payment method on file, until you cancel it (section 9). Before every yearly renewal you receive a reminder email.
If the price of your licence changes, we tell you by email at least 30 days before the renewal it applies to. The new price applies from the first renewal after the notice; if you do not accept it you can cancel before the renewal.
You can change licence, or move from monthly to yearly payment, from subscription management. The price difference is prorated over the time left.
8. Payment and failed payments
Payments are collected by Link. The Provider does not see or store your card details. If a charge fails, Link retries for a few weeks and notifies you. While it retries the key stays active; if the payment still fails at the end, the Subscription ends and section 9 applies. You can also view orders, change payment method and cancel on Link's website (link.com).
9. Cancellation and end of the Subscription
You can cancel at any time, without giving a reason:
- from the Plugin, on the Abbonamento (Subscription) page, with “Gestisci abbonamento” (Manage subscription): you receive by email a link to the subscription management page, valid for 15 minutes and usable once;
- on Link's website (link.com);
- or by writing to info@mokita.studio from the registered address.
Cancellation takes effect at the end of the period already paid (or at the end of the trial) and stops further renewals. The current period is not refunded, except as provided in sections 10 and 12.
When the Subscription ends:
- the Plugin stays installed and keeps working on your site, with your data;
- the Plugin goes back to the unlicensed features: the public form and the admin accept at most 20 new bookings a month; the groomers and locations you have keep working, but you cannot add more; the Incassi (takings) page is not available; the WordPress admin shows an “Abbonamento scaduto” (subscription expired) notice with a button to renew;
- you are no longer entitled to support;
- updates are not guaranteed, but may remain available to sites already registered with the key.
Bookings and your customers' data are stored in your site's database: the Provider does not keep or delete them.
10. Consumer right of withdrawal
This section applies only if you buy as a consumer.
You exercise the right to withdraw from the sales contract with Link, under its terms and the law of your country; you may also write to the Provider, at info@mokita.studio or at the PEC address valerio.rullo@pec.it, who will forward your request. You may use the form at the end of these terms, but you do not have to.
The free trial lasts longer than the 14-day withdrawal period: if you cancel during the trial you pay nothing. After withdrawal the key is deactivated.
11. Purchases for business purposes
If you buy for your trade, business or profession (for example by entering a VAT number), the right of withdrawal in section 10 does not apply. The refunds in section 12, which the Provider offers to everyone, still apply.
12. Refunds
Refunds are made by Link. You can ask Link (support.link.com) or the Provider, who issues them from its Stripe dashboard. The Provider grants the refunds described on the Refunds page, which is part of these terms. Link also applies its own refund policy and, where the two rules differ, the one more favourable to you applies. After the refund the key is deactivated.
13. Updates
While the Subscription is in trial or active you receive Plugin updates through WordPress's normal update system, from the Licence service.
- Requirements: WordPress 6.4 or later, PHP 8.0 or later, MySQL or MariaDB database.
- Back up your site before updating. Backups of your site are your responsibility.
- The Provider tests the Plugin on the WordPress and PHP versions stated in the Plugin's details, but cannot guarantee that it works with every theme, plugin or hosting service.
14. Support
Support is by email at info@mokita.studio, in Italian or English. We reply within 2 working days. No licence includes availability commitments or response times other than these.
Support covers installation, key activation, Plugin configuration, help moving your data from Amelia and Plugin problems. It does not cover custom development, theme changes, or the configuration of your site's hosting or email server (SMTP); for those we can at most help you find the cause of the problem.
If you give us access to your site or data for support, the processing of your customers' data follows the Data Processing Agreement.
15. Licence service and data
The Plugin contacts the Licence service in five cases: when you activate the key; once a day, to check it; when WordPress looks for updates; when the site gives up the key (with “Libera questo sito”, by uninstalling the Plugin or by entering another key); when, from the Abbonamento page, you start a purchase, ask to recover your key or ask to manage your subscription. It sends the key and the site address, the Plugin version when it looks for updates, and the email when you start a purchase or recover your key. It sends no data about your customers or bookings. Details are in the Privacy notice.
If the Licence service cannot be reached, the Plugin keeps using the last licence status it knows.
16. Customer obligations
You agree to:
- keep the key safe and not use it on more sites than your licence allows;
- give true details on the purchase page, in particular an email address you read: it is the only address the key and the subscription management links are sent to;
- use Kairomi Pro lawfully. You are the controller of the customer data you collect with the Plugin: it is up to you to inform your customers (for example with your own privacy policy, which the booking form can link to) and to have a legal basis to process those data;
- set up email sending for your site (SMTP) and keep backups.
17. Warranties
The Plugin's code is provided under the GPL, which excludes any warranty on the software to the extent permitted by law. The Provider delivers the Services with professional care and fixes the Plugin defects you report within a reasonable time, but does not guarantee that the Plugin is error-free or fit for every need.
If you are a consumer, you always keep the legal guarantee of conformity for digital content and services (Arts. 135-octies and following of the Italian Consumer Code).
18. Limitation of liability
To the extent permitted by law, the Provider's total liability to the Customer for any cause related to these terms does not exceed what the Customer paid for the Subscription in the 12 months before the event giving rise to the claim.
The Provider is not liable for indirect damages, lost profits or bookings lost because of problems that do not depend on the Plugin, such as failures of the hosting, email server, other plugins or the theme, nor for data loss when there are no backups.
These limits do not apply to damage caused by wilful misconduct or gross negligence, or where the law does not allow liability to be limited, including consumer rights.
19. Suspension and termination
The Provider may deactivate the key, after notifying you by email and giving you 14 days to remedy, if the key is shared, resold or published, or used to get around the licence's limits. It may do so immediately, without notice, if the use of the key puts the security of the Licence service or of other customers at risk. In these cases payments already made are not refunded, except as required by law.
20. Changes to these terms
If we make material changes to these terms, we tell you by email at least 30 days in advance. The new terms apply from the first renewal after the notice; if you do not accept them you can cancel before the renewal. Changes required by law may apply sooner, and the notice says so.
21. Governing law and jurisdiction
These terms are governed by Italian law.
If you buy for business purposes, the courts of Reggio Calabria (Italy) have exclusive jurisdiction over any dispute.
If you are a consumer, the court of the place where you live or are domiciled has jurisdiction, and you keep the protection of the mandatory rules of the country where you habitually live.
